These terms govern your use of Qodify+. Please read them carefully before you use the service.
This is an English version of the Turkish text. If the two differ, the Turkish text prevails.
Please read these points first
All of these terms matter. The following affect your rights in particular:
- When you sign up, a 14-day free trial starts. It never turns into a paid subscription by itself (section 6).
- A paid subscription renews automatically every month until you cancel, and the fee is charged to your card (section 8).
- Unused credits expire at the end of each period and do not roll over. There are no top-up packs (section 7).
- Downgrades and cancellations take effect at the end of the current period. There are no partial refunds (section 9).
- If a renewal payment fails, your organization becomes read-only at once, with no grace period (section 8).
- If you are a consumer, you consent at checkout to the service starting at once, so you cannot use the right of withdrawal (section 24).
- Your data is deleted 90 days after your subscription or trial ends (section 22).
- Your ad content, your budgets and compliance with Meta's policies are your responsibility (section 13).
- Our liability to customers who are not consumers is limited (section 20).
1. Parties and acceptance
- These terms are between Hodox Bilişim ve Yazılım Hizmetleri Limited Şirketi ("Qodify+", "we", "us") and the person who uses Qodify+ ("you"). Our company details are in section 27.
- You accept these terms when you open an account. We record the version you accepted and when.
- If you use Qodify+ for a business, you confirm that you are authorised to bind that business, and these terms then apply to it as well.
- When you buy a package, you also confirm the Pre-Contract Information Form and the Distance Sales Contract. If they conflict with these terms on a matter of the purchase, the distance sales contract applies.
- Our Privacy Policy and Information Notice explains how we process your personal data.
- You must be at least 18 to use Qodify+.
2. Definitions
- Service: the qodifyplus.com website, the app.qodifyplus.com web app, the api.qodifyplus.com API, our mobile apps once released, and the “Qodify Plus” app on Meta.
- Organization: the customer account in the service. The package, credits, memberships and connections belong to the organization. An organization belongs to a store, business or person managing its own ad accounts, or to an agency managing its clients' accounts.
- Workspace: one business being marketed: a business, store, brand or agency client.
- User: a person who is a member of an organization or workspace.
- Credit: the unit used by metered operations such as the assistant's answers.
- Period: a one-month billing period that runs from the day the subscription started.
- Consumer: a natural or legal person acting for purposes outside their trade or profession. We treat buyers who buy with individual billing details as consumers.
3. The service
Qodify+ is an AI marketing assistant for e-commerce businesses and agencies. Today it lets you:
- connect your Meta (Facebook and Instagram) ad accounts,
- see reports on your campaigns, spend and conversions,
- ask the assistant questions about your advertising data.
Today Qodify+ only reads your ad accounts and changes nothing in them. If we offer features that can make changes to an ad account in the future, no change will be made without the approval of you or a user you authorise. The rules for those features will be added to these terms before they are offered.
The features each package includes are shown on the Pricing page. Features marked “Coming soon” are not available yet, and we make no commitment about when they will be. Once available, they can be used in the packages that include them at no extra subscription fee.
To use the service, you need a Meta ad account, an up-to-date web browser and a Turkish mobile phone number.
Qodify+ is not a Meta product and is not endorsed or sponsored by Meta.
4. Your account
- To sign up, you enter your name, your email address, a Turkish mobile number, a password of at least 12 characters, and your organization's name and type. We send a verification code to your phone by SMS; your account is opened only when you enter it.
- One phone number can be used for one account only.
- Keep your details accurate and up to date. We do not verify your email address separately; important notices go to it, so it is your responsibility to make sure it is correct.
- Do not share your password or reuse it on other services. If you forget it, a reset code is sent to your verified phone number. If you no longer have access to your number, our support team changes it after verifying your identity.
- A session stays open for at most 30 days, and a session unused for 7 days ends. You can sign out of all your sessions in Settings → Account security.
- If you suspect unauthorised access to your account, change your password and write to destek@qodifyplus.com straight away.
- You can ask us by email to delete your account (Data Deletion Instructions). The web app does not yet let you delete your account yourself.
5. Organizations, workspaces and roles
- When you sign up, an organization and its first workspace are created, and you become the organization's owner.
- You are responsible for whom you add to your organization, the roles you give them and what your users do in the service.
- Roles carry different permissions. For example, owners and billing members can buy, change and cancel packages, and owners and admins can connect and disconnect Meta.
- The last owner of an organization cannot be removed from it.
- Each workspace belongs to one organization. Workspaces are never shared between organizations or transferred.
- Agencies: your clients are workspaces in your agency's organization, and they do not use the web app. You must be authorised to connect your clients' ad accounts and to process their data through the service. You are responsible for having the necessary agreements with your clients, including for the processing of personal data. A data processing agreement for businesses and agencies will be prepared separately.
6. Free trial
- New accounts start with a 14-day free trial. The trial includes a package's monthly credits, workspace limit and features. No card or payment is needed.
- A phone number gives one trial only, even if the account tied to it is deleted.
- When the trial ends, your organization becomes read-only until you buy a package. The trial never turns into a paid subscription by itself, and you are not charged.
- If you buy a package during the trial, the trial ends at once. Its unused credits expire, the paid period starts that day, and that day becomes your billing date.
- If you do not buy a package after the trial, your data is deleted as described in section 22.
7. Packages and credits
- Packages are monthly subscriptions. Each package includes a monthly credit allotment, a workspace limit and any extra features listed for it. Current packages and prices are on the Pricing page.
- Your period starts on the day your subscription starts. Renewal, payment and the credit reset happen on the same day each month.
- Credits are a shared pool for all workspaces in your organization. You can set a monthly credit limit for any workspace.
- Metered operations, such as the assistant's answers, use credits at a fixed credit price per operation type. The current credit prices per operation type are shown on the Pricing page.
- Data sync, reports and safety operations use no credits.
- Unused credits expire at the end of the period and do not roll over.
- We do not sell top-up packs. If you need more credits, you can upgrade your package (section 9).
- Credits have no cash value, are not refundable and cannot be transferred to another organization.
- When you run out of credits, new metered operations do not start. An answer already in progress finishes within the credits reserved for it.
- If an operation fails because of an error, the credits reserved for it are not spent.
- We notify organization owners and billing members when credits run low.
- If we change credit prices, we will tell you in the web app and by email at least 30 days in advance. New prices apply to operations that start after the date given in the notice.
8. Payment, renewal and suspension
- Prices are in Turkish lira and exclude VAT; VAT at the rate in force (20% today) is added to every charge. At checkout you see the total including VAT.
- We take payments by card through our payment provider (currently iyzico). You enter your card details only on the provider's secure payment page; they never reach us. The provider stores your card and charges the monthly renewals. The provider's own terms and privacy policy also apply.
- The subscription has no fixed end and renews automatically every month until you cancel. Each renewal charges the monthly fee, including VAT, to your card. Payments are taken in full; there are no instalments.
- Packages can be bought only in the web app.
If a renewal payment fails:
- There is no grace period. Your organization is suspended at once and becomes read-only. You can still view your data, use billing features and disconnect Meta, but actions such as asking the assistant new questions stop.
- The payment provider does not retry a failed renewal by itself. When an owner or billing member replaces the card on the provider's card-update page, the failed renewal is charged again.
- Once the payment succeeds, your organization is reactivated at once and no data is lost. The amount charged is the monthly fee, including VAT, for the period that started on the renewal day; your billing date does not change.
- If you want to end a suspended subscription, write to destek@qodifyplus.com.
Suspension does not stop your ads on Meta. They may stay live and keep spending. You pay Meta directly for your ad spend; it is not part of what you pay us.
9. Package changes and cancellation
Upgrades take effect at once.
- Your billing date does not change.
- You pay the price difference between the two packages, plus VAT, at once, pro rata for the days left in the period.
- The credit difference is also added at once, pro rata, and your workspace limit rises at once.
- Before you confirm, you see what you will pay today, the credits you will get and your renewal date.
Example: if you move from a package with 1,000 credits a month to one with 3,000 with half of the period left, 1,000 credits are added at once and you pay half of the monthly price difference.
Downgrades take effect at the end of the period. Your current package and remaining credits stay until then. If you have more workspaces than the new package allows, you choose which stay active; the others become read-only, and their data is not deleted.
Cancellations take effect at the end of the period. You can cancel at any time in Settings → Billing. The service stays available until the end of the period, and the subscription does not renew. When the period ends, your organization becomes read-only.
There are no partial refunds. The fee for the current period is not refunded when you downgrade or cancel. The cases in which we do refund are in our Cancellation and Refund Terms.
10. Price and package changes
- We may change a package's price, credits, workspace limit or features. Changes apply to new purchases at once.
- For your existing subscription, a change applies from the first renewal at least 30 days after we notify you in the web app and by email. Until that renewal, your current price and credits stay the same.
- If you do not accept the change, you can cancel or change your package before that renewal, and the change will not apply to you.
- Organizations on a package we stop selling keep renewing on it.
11. Invoices
- Every charge gets one invoice (e-Fatura or e-Arşiv invoice).
- At present our team issues invoices and uploads them as PDFs to your billing page. Organization owners and billing members are notified when an invoice is uploaded.
- You must enter your billing details before your first purchase. You are responsible for their accuracy.
12. The Meta connection
- Only connect Meta business portfolios and ad accounts you are authorised to use.
- When you connect, you allow us to read your ad accounts' data within the permissions you grant. Today we ask for read permissions only.
- You can disconnect in the web app at any time or remove the “Qodify Plus” app in your Meta settings. Our Data Deletion Instructions explain how.
- Meta's own terms also apply, in particular the Meta Terms of Service, the Meta Commercial Terms and the Meta Advertising Standards.
- Meta's outages, API changes and decisions (such as rejecting an ad or restricting an account) are outside our control and may affect some features.
- Meta, Facebook and Instagram are trademarks of Meta Platforms, Inc.
13. Your ad accounts and your responsibilities
- Ad content, budgets, targeting, bids and spend are your decisions and your responsibility.
- You are responsible for complying with Meta's advertising standards and policies; advertising, consumer and competition law; the KVKK; and the rules on commercial electronic messages.
- You pay Meta directly for your ad spend.
14. The assistant and its answers
- The assistant's answers are for information and may be wrong or incomplete. We do not guarantee any particular sales, profit or advertising result.
- Our software calculates the figures, and results depend on the accuracy and freshness of the data from Meta. For example, Meta's conversion data can change for several days.
- The answers are not legal, financial or tax advice.
- Before an important decision, we recommend checking the answers against the data in Meta Ads Manager.
15. Acceptable use
When using the service, you agree not to:
- use the service for unlawful purposes,
- try to access accounts, data or workspaces you are not authorised to access,
- try to get around security measures, credits, limits or trial rules, for example by signing up with someone else's phone number or by writing instructions meant to mislead the assistant,
- overload the service, scrape it with automated tools or disrupt how it works,
- upload malware,
- reverse engineer the service (except where the law allows it),
- sell data obtained through the service, build profiles of people with it, or use it for purposes Meta's terms prohibit,
- share your account with people outside your organization or resell the service without our permission,
- upload content that infringes others' intellectual property, personality or privacy rights.
Agencies invoicing their clients for their own services is not reselling.
16. Your data
- The data and content you bring to the service remain yours.
- You allow us to process this data to provide the service, keep it secure and meet our legal obligations. We do not use your data for other customers or for advertising.
- Our Privacy Policy explains how we process personal data. Where your advertising data contains personal data, we process it on your behalf; a data processing agreement for businesses and agencies will be prepared separately.
- On request, we export a workspace's data in a machine-readable format.
- You can delete your assistant conversations at any time.
17. Availability and changes to the service
- We make reasonable efforts to keep the service available and free of errors, but we do not guarantee it and offer no service level commitment.
- We announce planned maintenance in advance where we can.
- We may improve and change the service. If we remove a feature included in a paid package, we will give notice in advance, as in section 10.
- Changes to Meta's APIs may change or stop some features.
18. Intellectual property
- The service, its software, design and trademarks belong to us or our licensors.
- While your subscription or trial is active, you have the right to use the service. This right is limited, non-exclusive and non-transferable.
- You may freely use the assistant's answers in your business. Similar answers may be given to other users.
- We may use feedback you give us to improve the service, free of charge.
19. Confidential information
Each party keeps the other's trade secrets and confidential information confidential and uses them only for the purpose of this agreement. This does not cover information that is public, obtained independently of the other party, or that must be disclosed by law. This obligation continues for three years after the agreement ends, and for trade secrets for as long as they remain secret.
20. Liability
- We provide the service as it is.
- To customers who are not consumers, and to the extent the law allows, we are not liable for: indirect damage; loss of profit, revenue or business; your ad spend and advertising results; Meta's data, outages and decisions; force majeure. Our total liability to these customers is limited to the fees paid to us in the 12 months before the claim.
- These limits do not apply to damage caused by our intent or gross negligence, or to liability that cannot be limited by law.
- If you are a consumer, nothing in these terms limits any right of yours or any liability of ours that consumer law does not allow to be limited.
- Customers who are not consumers compensate us for losses arising from third-party claims caused by their ads, their content or their breach of these terms.
21. Suspension and termination
You can cancel your subscription at any time (section 9). You can also ask us to delete your account.
We may suspend the service:
- when a renewal payment fails (section 8),
- when there is a security risk,
- when you seriously breach these terms,
- when the law, a competent authority or Meta requires it.
We will give notice in advance where possible. If you do not remedy a serious breach within 15 days of our notice, we may terminate the agreement. In cases of fraud, unlawful use or a serious security risk, we may terminate at once.
If we end the service without any breach on your part, we will give at least 30 days' notice and refund the fee for the unused days of the period you paid for.
22. When your subscription or trial ends
- When your subscription or trial ends, your organization becomes read-only and Meta data stops syncing. During this time you can view your data, ask for an export, disconnect Meta and buy a package again.
- 90 days after the end date, we delete your organization's data after giving you notice.
- We keep the records the law requires us to keep (such as invoices and accounting records) for the legal period. We keep audit records stripped of personal data.
- Details are in our Privacy Policy and Data Deletion Instructions.
23. Changes to these terms
- We may change these terms. We will tell you by email and in the web app at least 30 days before a change takes effect.
- If you do not accept a change, you can cancel your subscription or ask us to delete your account before it takes effect.
- Changes required by law or for security reasons may take effect sooner.
24. Consumers
- If you are a consumer, your rights under Consumer Protection Law No. 6502 and the Distance Contracts Regulation remain unaffected. Nothing in these terms limits them.
- Before buying, you confirm the Pre-Contract Information Form and the Distance Sales Contract.
- As a rule, consumers have a 14-day right of withdrawal from distance contracts. Qodify+ starts electronically as soon as you pay, and at checkout you consent to it starting at once. The right of withdrawal therefore cannot be used. The details are in the distance sales contract.
- You can try the service with the 14-day free trial before you buy.
25. Governing law and disputes
- These terms are governed by Turkish law.
- Consumers: within the monetary limits set each year by the Ministry of Trade, you can apply to the consumer arbitration committee where you live or where you made the purchase, and above those limits to the consumer court. Where the law requires it, you must apply to a mediator before going to court.
- Customers who are not consumers: the courts and enforcement offices of Istanbul Central (Çağlayan) have jurisdiction. The rules on mandatory mediation in commercial disputes remain unaffected.
26. General
- Entire agreement: these terms, together with the Privacy Policy, the pre-contract information form and distance sales contract you confirm when buying, and any data processing agreement between us, are the entire agreement between us.
- Severability: if a provision is found invalid, the rest remain in force.
- Assignment: you may not assign your rights under this agreement without our written consent. We may assign ours, with notice to you, in a merger, demerger, transfer of the business or similar event.
- Notices: we send notices to the email address in your account or in the web app. You can send formal notices in writing to our registered address.
- Force majeure: we are not liable for delays or failures caused by events beyond our control (such as natural disasters, epidemics, infrastructure or Meta outages, cyberattacks or official decisions).
- No waiver: if we do not exercise a right, we have not waived it.
- Language: these terms exist in Turkish and English. If the two differ, the Turkish text prevails.
